These Terms of Service (“Terms”) form an agreement between you and SkyLocker, Inc. (“SkyLocker”, “we”, “us”) governing your use of SkyLocker — including the service available through WhatsApp, the website at skylocker.co, the web dashboard, and any future SkyLocker products.
By using SkyLocker, you agree to these Terms and to our Privacy Policy. If you don't agree, please don't use the service.
1. Eligibility
You must be at least 13 years old (16 in the EEA) and have a valid WhatsApp account to use SkyLocker. If you're using SkyLocker on behalf of a company or organization, you represent that you have authority to bind that entity to these Terms.
2. The service
SkyLocker is a personal assistant that lives inside WhatsApp. You forward messages to our number; we save, organize, transcribe, summarize, and retrieve them on your demand through a set of skills. The exact set of features available depends on your plan — see the pricing section on our home page.
We may add, remove, or change features over time. We'll do our best to give reasonable advance notice for changes that materially affect how you use SkyLocker.
3. Your account
When you sign up, we create an account tied to your WhatsApp phone number. You're responsible for keeping access to your phone secure — anyone who can use your WhatsApp can talk to SkyLocker as you.
If you suspect your account has been accessed without your permission, contact us immediately at hello@skylocker.co. We'll help you secure the account.
4. Acceptable use
You agree not to use SkyLocker to:
- Store, send, or share content that is illegal, hateful, harassing, defamatory, sexually explicit involving minors, or that infringes someone else's rights
- Distribute malware, viruses, or any other harmful code
- Attempt to access other users' data, reverse-engineer the service, scrape data systematically, or circumvent security or rate-limiting measures
- Send spam, phish, or distribute unsolicited messages through SkyLocker
- Resell, sublicense, or redistribute SkyLocker without our written permission
- Use the service in a way that interferes with its stability for other users
We may suspend or terminate accounts that violate these rules. Severe violations (illegal content, threats to safety, child sexual abuse material) may also be reported to relevant authorities.
5. Plans, billing, and cancellation
SkyLocker offers a free plan and paid plans (Pro, Business). Paid plans are billed monthly through Stripe. By starting a paid plan, you authorize us to charge your payment method on a recurring basis until you cancel.
- Cancellation. You can cancel any time from your dashboard. Cancellation takes effect at the end of your current billing period — no further charges are made.
- Refunds. We don't offer prorated refunds for partial periods. We'll consider refunds case-by-case if there's been a billing error or significant service disruption — email hello@skylocker.co.
- Price changes. If we change pricing, we'll give you at least 30 days' notice via email or in-app message before the change applies to your subscription.
- Failed payments. If a charge fails, we'll retry over several days. If we can't collect, we'll move you back to the free plan and your paid features will be paused.
- Storage on downgrade. If you downgrade from Pro or Business to Free and your stored data exceeds the Free plan's storage limit, you'll have a grace period to delete content. New uploads will be blocked until you're back under the limit.
5b. Referrals and gifts
SkyLocker may offer a referral program and the ability to gift paid plans to another WhatsApp number. Participation is governed by these additional rules:
- Referral credits. When a friend you invite signs up and becomes an active user (defined in-app), we credit your account with free Pro access. Credits are non-transferable, have no cash value, and are subject to a rolling annual cap communicated in the app. We may revoke credits for referrals that violate these Terms (for example, fake accounts or phone-number farming).
- Gift purchases. You may buy a gift subscription for another person with their consent. You're responsible for making sure the recipient's WhatsApp number is correct and that they want to receive the gift. If the gift remains unclaimed after the window shown at checkout, it expires; paid gifts receive an automatic refund to the purchaser.
- Fraud and abuse. Automated sign-ups, self-referrals, or coordinated abuse of the referral or gift system will result in reversal of credits and may lead to account suspension.
6. Your content
You own everything you save to SkyLocker. We don't claim any rights over your files, messages, or other content. We process your content only as needed to operate the service for you — the details are in our Privacy Policy.
You grant SkyLocker a limited, non-exclusive, royalty-free license to host, process, transmit, transcribe, summarize, and display your content — strictly for the purpose of running SkyLocker on your behalf. This license ends when you delete the content or your account.
You're responsible for the content you upload. You represent that you have the right to store and process anything you send to SkyLocker.
7. Our intellectual property
SkyLocker — including the website, dashboard, brand, name, logos, and underlying software — is owned by us and protected by intellectual property laws. We grant you a personal, limited, non-transferable license to use SkyLocker for its intended purposes while these Terms are in effect. You may not copy, modify, distribute, or create derivative works of SkyLocker except as permitted.
8. Service availability
We work hard to keep SkyLocker available, but we don't guarantee uptime. The service may be temporarily unavailable due to scheduled maintenance, bug fixes, or factors outside our control — including outages at WhatsApp, our hosting providers, or upstream AI services. We won't be liable for losses caused by service interruptions beyond what these Terms otherwise allow.
9. Termination
You can stop using SkyLocker at any time by deleting your account from the dashboard. Upon deletion, your data is permanently removed within 30 days (see the Privacy Policy for details).
We may suspend or terminate your account if you violate these Terms, fail to pay for paid plans after our retry attempts, or in other circumstances we describe in these Terms. Where reasonable, we'll give you advance notice and an opportunity to export your data — unless legal or safety reasons prevent it.
10. Disclaimers
SkyLocker is provided “as is” and “as available”, without warranties of any kind, express or implied. We disclaim all warranties to the maximum extent permitted by law, including warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising from course of dealing or usage of trade.
We don't warrant that the service will be error-free, uninterrupted, secure, or free of harmful components. We don't guarantee that automated outputs (transcripts, tags, document Q&A answers, etc.) will be accurate, complete, or fit for any particular purpose. You use the service at your own risk.
11. Limitation of liability
To the maximum extent permitted by law, SkyLocker, our directors, employees, and affiliates won't be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, business, or goodwill arising from or related to your use of the service, whether based on warranty, contract, tort (including negligence), or any other legal theory.
Our total aggregate liability to you for any claim arising from or related to these Terms or the service is limited to the greater of (a) the amount you paid us in the 12 months preceding the claim, or (b) US $100.
12. Indemnification
You agree to indemnify and hold harmless SkyLocker, our officers, directors, employees, and agents from any claims, damages, liabilities, costs, or expenses (including reasonable legal fees) arising from your violation of these Terms, your misuse of the service, your content, or your violation of someone else's rights.
13. Governing law and disputes
These Terms are governed by the laws of the jurisdiction in which SkyLocker, Inc. is incorporated, without regard to conflict of law principles. Any disputes arising from or related to these Terms or the service will be resolved exclusively in the courts of that jurisdiction, except where applicable law gives you the right to bring proceedings in your local courts.
14. Changes to these Terms
We may update these Terms occasionally. When we make material changes, we'll notify you at least 30 days in advance via email, WhatsApp, or in-app message. By continuing to use SkyLocker after changes take effect, you accept the updated Terms.
15. General
These Terms (along with the Privacy Policy and any other agreements we have with you) constitute the entire agreement between you and SkyLocker regarding the service. If any provision is found unenforceable, the rest remains in full effect. Our failure to enforce any right under these Terms is not a waiver of that right. You may not assign these Terms without our consent; we may assign them to a successor in connection with a merger, acquisition, or sale of assets.
